Welcome to InnovExc Tech Solutions Pvt. Ltd. (“InnovExc”, “we”, “our”, “us”). By accessing our website, products, or services—including Optimus, our WhatsApp Business API–enabled CRM—you agree to these Terms & Conditions.
These terms are governed under the Information Technology Act, 2000 (India) and applicable global data protection laws including GDPR, where relevant.

- Optimus – WhatsApp CRM & Automation Platform
Service details, scope, pricing, and timelines are defined via proposals, agreements, or platform subscriptions.
Optimus Platform Usage
Optimus enables businesses to automate WhatsApp communication using official WhatsApp Business APIs.
By using Optimus, you agree that:
- You have obtained explicit end-user consent to communicate via WhatsApp
- You comply with Meta / WhatsApp policies
- You will not use the platform for spam, illegal, misleading, or abusive communication
InnovExc is not responsible for account suspension caused by policy violations.
Payments & Billing
- All payments are due as per agreed milestones or subscription cycles
- Failure to pay may result in suspension of services or platform access
- Fees are exclusive of applicable GST unless stated otherwise
Intellectual Property
- Custom deliverables become client property upon full payment
- InnovExc retains ownership of Optimus, its codebase, workflows, templates, and IP
- Clients receive a non-transferable, limited license to use Optimus during the subscription term
Confidentiality
Both parties agree to protect confidential and proprietary information exchanged during the engagement.
Third-Party Dependencies
Services may rely on platforms such as Meta (WhatsApp), Google, hosting providers, or payment gateways. InnovExc is not liable for downtime or policy changes introduced by third parties.
Limitation of Liability
To the maximum extent permitted by law, InnovExc shall not be liable for indirect, incidental, or consequential damages, including data loss, revenue loss, or business interruption.
Governing Law & Jurisdiction
These Terms are governed by the laws of India, with jurisdiction in Pune, Maharashtra.
